Terms and conditions
This is an English translation of our Dutch terms and conditions. In case of any discrepancy between the Dutch and English version, the Dutch version prevails.
1. Applicability
These terms and conditions apply to all offers, assignments and agreements between Mateo Logistics Netherlands B.V. ("Mateo") and its clients, unless otherwise agreed in writing. By placing an order, the client accepts these terms.
2. Applicable industry conditions
Mateo acts as a logistics coordinator and arranges transport through a network of carrier partners. In addition to these terms and conditions, the following apply to all assignments:
- General Carriage Conditions 2002 (AVC), for domestic road transport in the Netherlands
- The CMR Convention, for international road transport
- Dutch Forwarding Conditions (Fenex), for forwarding activities, including the coordination of transport via third parties
In the event of conflict, these industry conditions prevail over these general terms. A copy of the conditions mentioned will be sent on request free of charge.
3. Offers and formation of agreement
Offers from Mateo are without obligation and valid for fourteen days, unless otherwise stated. An agreement is formed as soon as Mateo confirms the assignment in writing (confirmation by email is sufficient) or actually starts execution.
4. Pricing
Unless otherwise stated, our prices are:
- Exclusive of VAT and other statutory charges
- Based on the rates, fuel prices and exchange rates applicable at the time of the offer
- Subject to surcharges, such as fuel surcharge, tolls, customs costs, ferry costs and waiting hours
If external circumstances substantially increase the execution costs, we may adjust the agreed price in consultation.
5. Payment
Invoices must be paid within fourteen days of the invoice date, without offset or suspension. In the event of overdue payment, the client is in default by operation of law and Mateo is entitled to charge statutory commercial interest and out-of-court collection costs.
6. Liability
Mateo's liability is limited as determined in the applicable industry conditions (AVC, CMR or Fenex). For damage other than cargo damage, Mateo's liability is limited to the invoice amount of the relevant assignment.
Mateo is in no case liable for:
- Consequential damage, lost profits, turnover or savings
- Damage resulting from delay that remains within reasonable margins
- Damage caused by force majeure
7. Insurance
Mateo ensures that the carriers it engages are adequately insured in accordance with applicable industry requirements. Additional cargo insurance is arranged at the request of the client against an additional charge.
8. Cancellation and changes
Cancellation or substantial modification of an assignment by the client is possible up to 24 hours before the scheduled loading time. In the case of later cancellation, costs may be charged, limited to actually incurred preparation costs and any cancellation costs charged by the carrier.
9. Complaints
Complaints about cargo damage must be reported at the time of delivery and confirmed in writing within the time limits stated in the applicable industry conditions. Complaints about invoices must be reported in writing within fourteen days of the invoice date, failing which the invoice is deemed accepted.
10. Force majeure
In the event of force majeure, including strikes, weather conditions, border blockades, war, natural disasters, pandemics and government measures, Mateo is entitled to suspend execution of the agreement or terminate the agreement, without being liable for any damages.
11. Applicable law and competent court
All agreements to which these terms apply are governed by Dutch law. Disputes are submitted to the competent court in the district of Gelderland, the Netherlands, unless mandatory law designates another competent court.
12. Changes
Mateo may amend these terms from time to time. The most recent version is always available on this page and applies to new assignments from the date of publication.
